### "Selling your company is never really a single decision; it's one you think about, and revisit, over many years.", Greg Mann, VP of Product at  Xanalys Ltd.

Four colleagues and I acquired Xanalys in 2010. In the early years, our focus was on retaining customers and growing the business, but longer-term goals were always in our minds, and inevitably they were tied to the question of when the company would be in a great place to sell. We achieved our retention goals and gradually began to grow, winning larger and larger contracts, eventually including the delivery of national investigative case management systems.

While we were steering the company towards these successes, other factors came into play. Several of the owners began to talk about retiring. That was the point at which we decided to put out some feelers: to see what kind of companies might be interested in Xanalys, and what vision they could offer us, our staff and our customers.

There was interest, and it came from a range of parties with very different approaches to acquisition, integration and funding, and with portfolios of different sizes and types.

I handled the initial conversations and listened to a wide variety of pitches. What surprised me about some organisations was how much they focused on the financials, and how little on the company itself: what we did, our staff and our customers.

We quickly narrowed the field to two or three serious contenders, with Harris at the top of the list. They took the time to explain their approach and showed real interest in who we were and what we were trying to achieve. They also set out clearly how we would fit into their vision for our market segment, which already included several significant acquisitions in our space.

After a series of meetings, including introductions to people from other Harris companies, we decided Harris was the right fit and entered formal negotiations. If one factor swung it, it was the "buy and hold" promise: acquired businesses are kept for the long term and never sold on. That single principle captured most of what mattered to us in choosing a new home for Xanalys.

That was where the real work began.

Due diligence is something you read about, but nothing prepares you for the work involved, even for a company of our size. I had read up on the process and prepared materials in advance, but the depth of analysis, especially on the financials, was intense. Having the right people to help, including a committed legal team, made all the difference. Throughout, the acquisition team at Harris stayed in close contact and supported us with any issues that came up.

With completion, in many ways the journey had only just begun. Becoming a "Harris company" brings its challenges, such as monthly reporting, but by adopting Harris's business processes and values, Xanalys has steadily become a more dynamic, responsive and ultimately more successful company.

There are certainly things we could never have achieved as quickly or as well on our own, not least the adoption of AI across every part of our business.

So was Harris the right choice? I believe so. The best evidence is that I've chosen to stay, in a new role focused on the parts of Xanalys I've always enjoyed most.
